Proof Diligence Terms of Service
These Terms of Service govern your use of the Proof Diligence platform operated by Proof Diligence Ltd ("we", "us", "our"). By accessing or using our platform, you agree to these terms.
1. Service Description
Proof Diligence provides a due diligence platform for startup investors. Our service combines AI-assisted analysis with expert human review to evaluate startups across multiple dimensions including founder backgrounds, pitch decks, code quality, go-to-market strategy, financial modeling, and data room documents.
We serve two types of users:
- Investors who subscribe to the platform and request diligence reports on startups
- Startups who are invited by investors to submit materials for evaluation
2. What We Do and Do Not Collect
We collect only business-related information necessary to perform due diligence:
- Pitch decks and business plans
- Financial models and projections
- Code repository access (read-only)
- Go-to-market strategy documents
- Data room documents (legal agreements, cap tables, IP documentation)
- Founder professional profiles (LinkedIn, public records)
- Company registration information
We do not collect or request:
- Personal identity documents (passports, national IDs, driver's licenses)
- Social security numbers or tax identification numbers of individuals
- Biometric data
- Personal financial information (bank accounts, credit cards of individuals)
- Health or medical records
- Any data requiring special regulatory licenses to process
All information collected is strictly business-related and voluntarily provided by the startup.
3. User Accounts
To use our platform, you must create an account. You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information during registration.
4. Investor Terms
Investors access the platform through a monthly subscription. The subscription provides:
- Unlimited diligence requests
- Full reports across 6 evaluation dimensions
- AI-assisted analysis with human verification
- Dedicated support

5. Startup Terms
Startups are invited to the platform by investors. When invited, startups may be asked to pay a per-assessment fee. In return, the startup receives:
- A detailed assessment report with recommendations
- Identification of strengths and areas for improvement
- A report they can use with this investor and in future fundraising
Startups submit materials voluntarily. We only review what is provided to us.
6. Confidentiality
All startup materials and diligence reports are treated as confidential:
- Startup data is never shared between investors
- Each report is accessible only to the requesting investor
- We do not sell or share user data with third parties
- All data is encrypted at rest and in transit
7. Intellectual Property
All content, analysis, scoring methodologies, and reports generated by Proof Diligence remain our intellectual property. Investors and startups receive a license to use their respective reports for internal business purposes.
Startup materials submitted to the platform remain the intellectual property of the startup.
8. Disclaimer
Our reports are informational and should not be considered as investment advice, legal advice, or a guarantee of any outcome. Investment decisions should be made based on your own judgment and, where appropriate, with professional advisors.
We make reasonable efforts to ensure accuracy but cannot guarantee that all information in a report is complete or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Proof Diligence shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our platform or reliance on our reports.
10. Termination
We may suspend or terminate your account if you violate these terms. You may close your account at any time by contacting us at info@proofdiligence.com.
Upon termination, we will delete your data in accordance with our Privacy Policy.
11. Changes to Terms
We may update these terms from time to time. We will notify registered users of material changes via email. Continued use of the platform after changes constitutes acceptance.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
